Item 2.02 Results of Operations and Financial Condition
The Registrants media release dated January 10, 2005, to announce that Patrick Sireta, CEO will speak at the Seventh Annual Needham Growth Conference in New York City on Wednesday, January 12th at approximately 4:30 pm EST, provide expected revenue for the quarter ended December 31, 2004 and revenue guidance for the quarter ending March 31, 2005, is attached hereto as Exhibit 99.1. This information is being furnished under Item 2.02 of Form 8-K.

The Registrants media release dated January 10, 2005, regarding the completion of the previously announced acquisition of Powersicel Inc. is attached hereto as Exhibit 99.2. This information is being furnished under Item 7.01 of Form 8-K.
