Item 5. Other Events and Regulation FD Disclosure

 

On July 16, 2004, International Bancshares Corporation (NASDAQ:  IBOC) announced that it will offer to purchase for cash any and all of the outstanding 11.0% Senior Notes due 2004 originally issued by Local Financial Corporation.  The offer is being made as a result of IBOC’s acquisition of Local on June 18, 2004 and as required by the terms of the indenture governing the Notes.   The news release, attached hereto and filed herewith as Exhibit 99, is incorporated herein by reference.
