(1) Holdings reported include shares acquired in the 401(k)/Profit Sharing plan through dividend reinvestment, payroll deferrals and/or employer contributions.
(2) This restricted stock award/option was assumed by Umpqua Holdings Corporation in the merger and was exchanged by a 1 for 1 ratio to purchase shares of Umpqua common stock with the same number of options and exercise price. All options and restricted stock awards are fully vested.
(3) Beginning on the first anniversary of the grant date, the options vest 20% per year for five years.
