SECTION 3 – FINANCIAL INFORMATION

ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES

On May 15, 2008, the Company announced that it had raised $1,740,000 from the exercise of warrants held by shareholders of the Company. A total of 4,350,000 warrants were exercised at a price of $0.40 per warrant resulting in the issuance of 4,350,000 shares of common stock. No commissions were paid.

The common stock resulting from the exercise of the warrants is restricted from resale by Rule 144. The Offering was strictly limited to persons who met certain minimum financial or sophistication requirements. The offering was made in reliance on exemptions from registration provided by Section 4(2) and Rule 506 of Regulation D of the Securities Act of 1933, as amended.

A press release announcing the exercise of the warrants is attached as an exhibit below.
