ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

On August 28, 2007, the Board of Directors of Net 1 UEPS Technologies, Inc. (the “Company” or “Net1”), approved the amendment of Sections 8.02, 8.03, 8.04, 8.06 and 8.07 of the Net1 Amended and Restated Bylaws (the “Bylaws”) to, among other things, make clarifying changes regarding the ability of the Company to provide for uncertificated shares in order to comply with NASDAQ’s Direct Registration System requirement and to restate the Bylaws as so amended. The ability to issue uncertificated shares enables the Company to participate, if necessary, in the Direct Registration Program that is being adopted by The Nasdaq Stock Market LLC. A Direct Registration Program permits investor’s ownership to be recorded and maintained on the books of the Company or the transfer agent without the issuance of a physical stock certificate and allows investors to electronically transfer securities to broker-dealers in order to effect transactions without the risks and delays associated with transferring physical certificates.
