Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
On November 16, 2006, Capital Lease Funding, Inc. appointed John E. Warch as Senior Vice President and Chief Accounting Officer. Mr. Warch, 49, is a certified public accountant and previously served as Director of Finance at Capital Trust, Inc. from July 2005 until May 2006. Prior to joining Capital Trust, Mr. Warch served as Senior Vice President, Treasurer and Controller at Falcon Financial Investment Trust from July 2003 until July 2005. From July 2001 until July 2003, Mr. Warch served as Senior Vice President, Finance at ICON Capital Corporation.
