In recent weeks, the Illinois Commerce Commission received two anonymous letters detailing concerns the merger integration planning process. While this kind of activity is not at all uncommon for a transaction of the nature between AGL Resources and Nicor, an online news story posted earlier today about the letters may result in questions from your employees. The below information is intended to help you address any team member concerns quickly and accurately.

Ø  
The letters contain several inaccuracies and make assertions that are inconsistent with the sworn testimony by senior officers of AGL Resources that has been filed with the ICC and is available on the ICC’s website.

Ø  
Safety is a top priority for both Nicor and AGL Resources and will remain a top priority of the combined company.

Ø  
AGL Resources has made a series of unprecedented commitments related to the future operations of Nicor Gas after the close of the proposed merger in order to ensure that customers continue to enjoy the safe, reliable and cost-effective service they do today:

o  
Locate its natural gas distribution headquarters in Naperville, IL.
o  
Maintain the number of full-time equivalent employees involved in the operation of the natural gas business of Nicor Gas for at least three years after the close of the merger. This means that most of the people who have primary contact with customers, are directly involved in field operations or provide necessary support services will continue to perform these functions or similar ones.
o  
Maintain personnel levels in specific areas of safety oversight of the Nicor Gas system for at least five years.
o  
Honor existing union agreements.
o  
Continue philanthropic contributions in communities in the Nicor Gas service territory for at least three years.

Ø  
The focus of the integration of AGL Resources and Nicor is not headcount reduction, though it is inevitable that some people and positions will be affected in order to successfully combine our two companies. However, no employees have been given notice of termination related to the proposed merger.

AGL Resources and Nicor believe the combination of the companies will create long-term benefits for customers and establish a platform for growth superior to what either company could achieve alone.
